Terms of Service
Effective July 2026
These Terms of Service ("Terms") govern your access to and use of the TAO Nexus platform, websites, applications, and services (collectively, the "Service") operated by TAO Nexus, Inc. ("TAO Nexus," "we," "us," or "our"). By using the Service, you agree to be bound by these Terms.
1. Use of the Service
You must be at least 18 years old and have the authority to bind your organization to these Terms. You agree to use the Service only for lawful business purposes and in compliance with all applicable laws, regulations, and industry standards.
2. Accounts and Security
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at legal@taonexus.com of any unauthorized access. TAO Nexus is not liable for losses caused by unauthorized use of your account resulting from your failure to protect credentials.
3. Customer Data
You retain all rights to the data you upload, generate, or transmit through the Service ("Customer Data"). You grant TAO Nexus a limited license to process Customer Data solely to provide, secure, and improve the Service. We do not sell Customer Data. See our Privacy Policy for details.
4. AI-Generated Output
The Service uses third-party large language models to draft change orders, insurance scopes, lead summaries, and voice responses. AI output can contain errors or omissions and must be reviewed by a qualified human before use in legally binding, financial, or safety-critical contexts. TAO Nexus makes no warranty as to the accuracy, completeness, or fitness for purpose of AI-generated output.
5. Acceptable Use
You will not: (a) reverse-engineer or attempt to derive source code of the Service; (b) use the Service to transmit malware, harassing content, or content that infringes intellectual property or privacy rights; (c) resell, sublicense, or provide the Service to third parties without written consent; (d) circumvent security measures or rate limits.
6. Fees, Trials, and Cancellation
Paid plans are billed in advance on a monthly or annual basis and are non-refundable except as required by law. Free trials automatically convert to paid subscriptions unless canceled before the trial end date. You may cancel your subscription at any time from your account settings.
7. Confidentiality
Each party will protect the other's confidential information using no less than reasonable care and only use it to perform under these Terms.
8. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAO NEXUS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Termination
We may suspend or terminate your access if you materially breach these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive (e.g., Sections 8–12) will survive termination.
11. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Harris County, Texas.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least thirty (30) days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
